With a company formation through BGGE you can book the registration address directly as an add-on to the formation package — though you only need it if you do not already have a suitable address: sole traders may register their private residential address, while an LLC or JSC needs an address that Georgian law permits to be used commercially. If you prefer your own premises outside our locations, we handle location search and lease review on request — the fixed price depends on the location and the number of properties and starts at roughly EUR 300.

Local Directors With a Real Function

For Georgian structures — such as an LLC with International Company Status or a locally anchored holding company — BGGE provides suitable local directors. The benefit: local substance for the ICS requirements, clean permanent-establishment design, a tangible counterpart for the bank’s KYC process, representation before authorities, and the ability to act on the ground without you having to travel.

The compliance framework is non-negotiable:

  • A function that is actually exercised — the director manages what he is responsible for, within clearly defined contractual and power-of-attorney limits
  • Documented decision processes — resolutions, minutes and reporting lines are provable
  • A transparent beneficial owner — the client remains openly disclosed as owner towards banks and authorities

Staff on the Ground

When your operation needs hands, we recruit suitable commercial and operational staff in Tbilisi — from back-office clerks to executive assistants. Recruitment, screening and ongoing support run as Advertising, screening and the presentation of up to three candidates per position cost a one-off EUR 120. Two items come on top and do not go to us: the salary — a qualified, foreign-language-capable hire in Tbilisi costs from roughly EUR 600 a month — and the ongoing payroll, which runs as an add-on to accounting — the first employee is included in the LLC tier, each additional one costs 30 GEL a month. Combined with the company formation, the result is a working operation instead of an empty shell.

Why Substance Matters

In Georgia, substance is not cosmetic — it is a precondition:

  • International Company Status (ICS): the 5/0/5 regime under Decree 619 requires genuine substance and employees in Georgia — no real presence, no status. Under the Virtual Zone, too, the Revenue Service increasingly expects demonstrable local value creation.
  • Permanent-establishment design (Art. 27–29 GTC): where a company is actually managed determines its tax treatment. Real premises, local management and documented decision locations make the structure defensible.
  • GAAR (Art. 73.9 GTC): the Revenue Service examines economic substance, not contract titles. Paper constructs with no lived function get reclassified — with back taxes and penalties.
  • Bank KYC: Georgian banks want to know who stands behind a company and where it works. A real address with a usage confirmation and a tangible local director make the difference between a swift account opening and endless follow-up questions.

This is exactly where we differ from the “company setup for EUR 499” providers selling an address from a catalogue: a registration address where nobody can be reached survives neither a substance review nor bank onboarding. We build operations, not stage sets.

Is this a letterbox?

No. Our addresses sit in actually used properties in the greater Tbilisi area — with staff who receive your mail and rooms you can use yourself from stage 2 onwards. A bulk letterbox with thousands of registered companies is precisely what we position ourselves against: it is the first thing that stands out in bank KYC and substance reviews.

What exactly happens to my mail?

Included in the EUR 600 annual price: our staff receive your mail, digitise it and forward every letter to you as a scan by email — 10 pages per year are included, each additional page costs EUR 1. The Mail review & explanation add-on (EUR 200/year) goes a step further: we read every letter, filter out advertising, explain what it is about — including translation where needed — and give you a recommendation on what to do and what to avoid. Originals are kept for up to six months and shipped worldwide on request. The same allowance of 10 pages applies to reviewed letters; beyond that each page costs EUR 20 on top of the EUR 1 scanning fee.

Do you provide nominee directors?

No. We provide directors who actually exercise their function — with a real contract, clearly defined power-of-attorney limits and documented decision processes. The beneficial owner remains transparently disclosed to banks and authorities: the client. A pure front-man construct, by contrast, carries no structure: every Georgian bank establishes the beneficial owner during KYC and reviews them periodically — so the construct does not surface at opening but later, and it can cost you the account exactly when you need it most. That is why we build it differently.

Why does substance matter for tax?

Three reasons: the International Company Status requires genuine substance and employees in Georgia (Decree 619). The permanent-establishment rules (Art. 27–29 GTC) and the general anti-avoidance rule (GAAR, Art. 73.9) look at the actual circumstances, not at contract titles. And banks check in KYC whether a real operation stands behind the company. Real premises, lived management and local staff answer all three reviews.

How quickly is everything ready?

What does the equipment cost?

The registration address costs EUR 600/year — including mail reception, scanning and forwarding plus 10 scanned pages per year (EUR 1 for each additional page). Mail review with explanation and translation costs EUR 200/year, a local director EUR 1,200/year. Location search and lease review outside our locations: on request, from roughly EUR 300. Workspace, private office, office floor, staff and the Office-in-a-Box equipment are quoted as a fixed price on request — depending on floor space, team size and scope of equipment.
